3.2 Account Security You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at social@artiphex.com if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials7.

3.3 Age Requirements You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use Artiphex Social. By using our Service, you represent and warrant that you meet this requirement.

4. Description of Service

Artiphex Social provides an AI-powered social media management platform that enables Users to:

• Create and generate social media content using artificial intelligence tools
• Schedule and publish posts across multiple social media platforms
• Analyze performance metrics and engagement data
• Manage multiple social media accounts from a unified dashboard
• Collaborate with team members on content creation and approval
• Access AI-generated images and visual content
• Automate posting workflows and content recycling

The specific features available to you depend on your subscription plan.

5. User Conduct and Acceptable Use

5.1 General Conduct You agree to use Artiphex Social only for lawful purposes and in accordance with these Terms. You are solely responsible for all Content you create, upload, publish, or distribute through our Service.

5.2 Prohibited Activities You agree NOT to:

• Use the Service for any illegal, harmful, or fraudulent purposes
• Upload, post, or transmit Content that is defamatory, obscene, pornographic, abusive, threatening, or discriminatory

5.3 AI-Generated Content Responsibility When using our AI features to generate content, you acknowledge that:

• AI-generated content may require review and editing before publication
• You are responsible for ensuring AI-generated content complies with applicable laws and platform guidelines
• AI outputs should be verified for accuracy, appropriateness, and compliance with third-party intellectual property rights
• You will not use AI features to generate harmful, misleading, or illegal content

6. User-Generated Content

6.1 Ownership You retain ownership of all Content you create and upload to Artiphex Social. By submitting Content, you grant Artiphex Social a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your Content solely for the purpose of operating and providing the Service.

6.2 Content Guidelines All User-Generated Content must comply with our acceptable use guidelines. Content that violates these Terms may be removed without notice, and repeated violations may result in account termination.

6.3 Content Monitoring We reserve the right, but have no obligation, to monitor, review, or edit User-Generated Content. We may remove any Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

6.4 Third-Party Platform Content When you connect social media accounts and publish content through Artiphex Social, you remain bound by the terms of service of those third-party platforms (including but not limited to Meta, X, LinkedIn, TikTok, and Google). We are not responsible for how third-party platforms handle your Content.

7. Intellectual Property Rights

7.1 Artiphex Social Property The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by Artiphex and protected by international copyright, trademark, patent, and other intellectual property laws.

7.2 License to Use Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

7.3 Restrictions You may not:

• Copy, modify, or distribute any portion of the Service without authorization
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Remove any copyright or proprietary notices from the Service
• Create derivative works based on the Service
• Sublicense, sell, or lease access to the Service

8. Subscription Plans and Payment Terms

8.1 Subscription Plans Artiphex Social offers various subscription plans with different features and limitations. Plan details, pricing, and features are available on our website.

8.2 Payment By subscribing to a paid plan, you agree to pay all applicable fees. Payment is due at the beginning of each billing cycle. We accept major credit cards and other payment methods as specified on our website.

8.3 Automatic Renewal Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal amount.

8.4 Price Changes We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle following notice of the change.

8.5 Refunds Refund requests are handled on a case-by-case basis. Generally, fees are non-refundable except as required by law or as expressly stated in these Terms.

9. Free Trials

If you sign up for a free trial, you will have access to the Service for the trial period at no charge. At the end of the trial:

• Your access to premium features will be restricted unless you subscribe to a paid plan
• Data created during the trial may be retained according to our data retention policies
• You may be automatically enrolled in a paid subscription if you provided payment information, unless you cancel before the trial ends3

10.1 Social Media Platform Integration Artiphex Social integrates with third-party social media platforms. Your use of these integrations is subject to the respective terms and policies of those platforms. We are not responsible for the content, policies, or practices of third-party platforms.

10.2 External Links The Service may contain links to third-party websites or services. We do not control and are not responsible for the content, accuracy, or practices of third-party sites.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• AI-generated content will be free from errors or appropriate for your purposes
• Any defects in the Service will be corrected
• The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTIPHEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Performance or non-performance of AI features
• Actions taken by third-party social media platforms

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Artiphex, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your Content or User-Generated Content
• Your interaction with third-party social media platforms through the Service

14. Termination

14.1 Termination by You You may terminate your account at any time by contacting us at social@artiphex.com or through your account settings. Upon termination, your right to use the Service will immediately cease.

14.2 Termination by Us We reserve the right to suspend or terminate your account and access to the Service, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of applicable laws or regulations
• Conduct that we determine is harmful to other Users or the Service
• Extended periods of inactivity
• Non-payment of fees

14.3 Effect of Termination Upon termination:

• Your license to use the Service terminates immediately
• We may delete your account and associated data according to our data retention policies
• Provisions of these Terms that by their nature should survive termination shall survive

15. Governing Law and Dispute Resolution

15.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Artiphex operates, without regard to conflict of law principles.

15.2 Dispute Resolution Any disputes arising from these Terms or your use of the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by applicable law.
